Board of Governors - Charter
Intention of Committee:

To oversight the quality, integrity, due process, industry alignment and professionalism of the Institute, and ensure they are consistently maintained at standards appropriate to the Institute’s objectives.

Committee Objectives:

  • Oversight of admissions probity
  • Oversight of certification probity
  • Oversight of election probity
  • Oversight of complaint management
  • Oversight of Institute’s governing policies
  • Oversight of Institute effectiveness

Responsibility/Powers:


  • Review recommendations arising from committees and executive
  • Review escalations and resolutions arising from various of the Institute’s operational process including, but not limited to (admissions, certification, election and complaints).
  • Review of Member, CEO satisfaction surveys
  • Power to appoint auditors or investigators to any aspect of the Institute's operations
  • Power to sack any other Board
  • Power to overturn decisions of any other Board/Committee
  • Power to direct changes to organisational processes
  • Power to delegate to a sub-committee

Meetings:

The committee shall meet four times yearly face to face, via telephone or video conference as considered appropriate by the Chairman.

Quorum:


A quorum shall be three (3) members.

Review of Committee:

The Chairman shall meet at least once annually separately with each member of the committee to discuss performance.

Constitution of Committee:

The Board of Governors is to made up of individuals of appropriate experience and calibre who can contribute to the effectiveness and principled operation of the Institute.

Committee Tenure:


Appointment of members will be confirmed annually.

Access:


The Committee shall have unlimited access to senior management of the International CIO Institute and its member organisations and shall also have the ability to consult independent experts where the Board considers it necessary to carry out its responsibilities.

Administrative support:


Board members will be provided with agendas, recommendations, minutes and supporting papers for consideration prior to each meeting, and such general administrative support as may be required from time to time.

NOTE: In the Institute's inauguration phase, the constitution of the committees are to be made by appointment. The charters of the committees are scheduled to be reviewed and authorised by the relevant committees and the Board of Governors by early 2008.
